Eligibility Requirements *

In order to apply to be a participant in the program currently entitled “Legends of Treasure Coast (wt)” (the “Program”), you represent and warrant that you meet the following eligibility requirements: (i) You are at least 21 years of age; (ii) You are a legal US resident; (iii) Neither you, nor any member of your immediate family (parents, children, spouse, ex-spouse, and “step” relatives) nor household members (whether or not related) are currently an employee, officer or director of any of the following: (a) LWT Enterprises, Inc. (“Producer”), its licensees and assigns, and any of their respective parent, subsidiary, related and affiliated entities, or any other person or entity involved in the development, production, distribution or other exploitation of the Program or any variation thereof; (b) One or more television networks, cable outlets, and/or digital platforms on which the Program may be exhibited (collectively, “Network”), or any of their respective parent, subsidiary or affiliated entities; (c) Any sponsor of the Program or its advertising agency; or (d) Any person or entity supplying goods or services (as applicable) to the Program. Please list any such relationships here; if none, write “None.” If you become aware of any such relationships after completing this application, please immediately notify Producer in writing. ______________________________________________________________________________ ________________________________________________________________________ ______________________ Producer reserves the right to add to or modify the eligibility requirements at any time. I acknowledge that Producer may determine, in its absolute discretion, whether or not to select me to participate in the Program and that Producer has the right, to eliminate me from further consideration as a participant or potential participant at any time for any reason. If you are selected as a potential participant you must execute waivers and release agreements required by Producer and Network or any of their licensees, successors or assigns. You hereby give the following representations, warranties, acknowledgements, consents and releases: 1. (a) By signing below, I hereby represent, warrant, acknowledge, and agree that: (i) I have read and I meet and agree to be bound by the eligibility requirements set forth above; (ii) I am free from any and all holding or exclusivity agreements in connection with other television programs (iii) I have completed this Application honestly and accurately; (iv) if any of the information in this Application is found to be false or incomplete, this will be grounds for dismissal from the Program selection process, and/or from the Program, if selected; (v) if selected for the Program, I agree to execute waivers and release agreements required by Producer or any of its licensees, successors or assigns, including without limitation, a longform participant agreement; (vi) even if I meet the eligibility requirements, Producer has no obligation to further contact me, to interview me, and/or select me as a participant; (vii) even if I am selected as a participant, Producer has no obligation to produce the Program and neither Producer nor Network has any obligation to exhibit it or my appearance, even if produced; (viii) all decisions by Producer concerning selection of the participants are final and not subject to challenge or appeal; (ix) Producer has no obligation to return any materials submitted by me as part of the Application whether or not I am selected as a participant; (x) I will follow any and all health and safety protocols and procedures required by Producer in connection with my participation (if any) in the Program; (b) I authorize Producer and its designees to investigate, access and collect information about me, about any of the statements made by me in my Application, any supporting documents and any other documents that I have signed or provided or do sign or provide in connection with my Application to be selected as a participant in the Program, or any other written or oral statements I make in connection therewith, to the maximum extent permitted by law. I acknowledge and agree that any such information may be used for purposes of selecting participants in the Program or in the course of producing the Program and may be described or otherwise related in and in connection with the Program, in and in connection with another program, and in and in connection with any advertising, promotion or publicity for the Program, other program, or otherwise to the maximum extent permitted by law. (c) By submitting this Application, I hereby consent to the recording, use and reuse by Producer and its designees, Network, and any of their respective licensees, successors, assigns, parents, subsidiaries, sponsors, advertisers, or affiliated entities, the other participants in the Program, on-air talent, and each of their respective employees, agents, representative, officers and directors (collectively “Releasees”) of my voice, actions, likeness, name, appearance, biographical material, and any information contained in, derived from or obtained in connection with my Application to be a participant in the Program or in any materials submitted by me in connection with my Application (collectively “Likeness”), as edited, altered, or modified by the Producer or by any of the other Releasees, in any and all media now known or hereafter devised, worldwide in perpetuity, in or in connection with the Program or any other work. I agree that the Releasees or any of them may use all or any part of my Likeness, and may alter or modify it regardless of whether or not I am recognizable. I further agree that the Releasees exclusively own all right, title, and interest (including, without limitation, all copyrights) in and to any and all recordings made by them and in and to any and all photos and videos (if any) that I have provided in connection with my Application and any other materials that I have provided or may provide in connection with my Application or the Program (collectively, the “Materials”), which shall be deemed to be “works-made-for-hire” under the Copyright Act, and include, without limitation, the right to edit, alter or modify the Materials and to use all or part of the Materials and my Likeness in any and all media now known or hereafter devised worldwide, in perpetuity. I further agree that Releasees may use my Likeness and the Materials in connection with any promotion, publicity, marketing or advertisement. I grant the rights hereunder whether or not I am selected to participate in the Program in any manner whatsoever. I understand that I will not be paid any money for giving Releasees these rights or for signing this Application. 2. I hereby unconditionally and irrevocably release and forever discharge each of the Releasees, from any and all claims damages, liabilities, costs and expenses of any kind, resulting or arising out of or in connection with my Application for the Program, participant selection determinations and/or the exercise of any rights granted by me herein (collectively, the “Released Claims”). The Released Claims shall include but are not limited to those based on negligence, personal injury, wrongful death, property damage, products liability, libel, slander, defamation, invasion of privacy, publicity or personality, infliction of emotional distress, breach of contract, breach of any statutory or other duty of care owed under applicable laws and infringement of trademark, patent or copyright. 3. I hereby agree that I will neither sue nor file any claim, complaint or lawsuit against any of the Releasees for any of the Released Claims. I further agree to defend, indemnify and hold harmless each of the Releasees from and against any and all claims, liabilities or expenses (including reasonable attorneys’ fees) by whomever asserted arising from or relating to: (a) my breach or alleged breach of any representations and warranties herein; (b) my acts, statements and/or omissions in and in connection with my Application for the Program; (c) the use of any of the rights I have granted herein; and (d) my violation of any law, rule or regulation. 4. I agree that any and all claims, disputes or controversies arising out of or in connection with this Application for or participation in the Program that are not otherwise barred or released pursuant to the terms herein shall be resolved exclusively and confidentially by binding arbitration before a single, neutral arbitrator, under the auspices of JAMS using its Streamlined Arbitration Rules and Procedures, through its Los Angeles, CA office. I agree that my remedies for any breach of this Agreement by Producer or others will be limited to monetary damages, if any, and in no event will I be entitled to rescind this agreement or the rights granted hereunder, or to seek or obtain injunctive or any other equitable relief. 5. I agree that I shall not disclose to any third party and keep strictly confidential any information I obtain through any source whatsoever about the Program, including but not limited to the Application process, taping locations, the events or outcome of the Program, and the business or creative affairs of Producer or Network. This agreement is not assignable by me, but may be freely assigned by Producer or Network in whole or in part. This agreement shall be governed by and interpreted in accordance with the laws of the State of California. If I am selected by Producer to advance in the selection process, I agree to execute and deliver to Producer its long-form Participant Agreement and such other documents as Producer deems necessary or advisable regarding my proposed or actual participation. 6. This agreement constitutes the entire understanding and agreement of the parties, and supersedes all prior understandings, whether written or oral. Should any provision of this agreement be void or unenforceable, such provision shall be deemed omitted, and this agreement with such provision omitted shall remain in full force and effect.
